Expectations of Board Members
1. Regularly attend Board meetings. If a Board member misses more than fifty percent (50%) of scheduled Board meetings, without notification, in a membership year, such action shall be deemed a voluntary resignation from office. Exceptions may be granted by motion of the Board.
2. Be a member in good standing of Community Television and attend an orientation class.
3. Maintain confidentiality regarding all personnel matters and closed session meetings.
4A. Stay informed about CTSCC. It is appropriate and necessary for Board members to have access to information from a variety of sources, including management, staff, members, volunteers, government officials, and the general public in order to properly exercise their oversight duties of CTSCC.
4B. Refrain from interfering with any personnel or staff activities at CTSCC. Work assignments and supervision of staff are under the purview of the Executive Director. While it is appropriate for Board members to interact and communicate with staff, no Board member shall give orders or work assignments to any CTSCC employee, either publicly or privately; with the exception that Board members may request staff to provide information or data, and when such requests are made the Executive Director or their designee should be informed of such requests.
5. Comply with the terms of Article XI of the Bylaws regarding Conflict of Interest and Disclosure.
6. Complete one training class or visit the facility for half a day to observe how things operate at Community Television.
7. Be an advocate for Community Television in the community and report to the Board on such advocacy activities. Do not engage in any conduct which would have a direct and/or substantive adverse effect on the reputation and/or operation of CTSCC.
I have read the foregoing and agree to meet the Expectations of Board Members of Community Television of Santa Cruz County, Inc.
Signed:
Board Member
